User Agreement

Effective Date: January 1, 2026

Thank you for using the GearHead app

"GearHead" refers to the mobile applications and related services lawfully owned and operated by Shanghai Wuyi Technology Co., Ltd. ("Wuyi Technology", "we", or "us"), including but not limited to software on mobile devices. The GearHead service and all functions included in it are collectively referred to as "our products and/or services."

The GearHead User Agreement (the "Agreement") is a contract between users and us regarding the download, installation, copying, and use of our products and/or services. Please read and fully understand this Agreement before using our products and/or services.

By agreeing to this Agreement, or by completing the registration or login process, you acknowledge that you have fully read, understood, and accepted all of its contents and have become a GearHead user. If you do not agree with any part of this Agreement, or if you cannot accurately understand the interpretation of its terms, please do not proceed with any related function. Otherwise, any use or operation will be deemed acceptance of this Agreement.

Use of GearHead products and services is deemed your acceptance of the following terms.

1. Personal Use Only

GearHead is provided only for users' personal and non-commercial use. If you wish to sell GearHead or any materials, services, or software related to or derived from GearHead, you must obtain our permission. If you have any suggestions on how GearHead can be improved, you may contact us.

2. Intellectual Property

Users acknowledge that we own all rights in GearHead, including but not limited to all intellectual property rights. "Intellectual property rights" means all rights provided under patent law, copyright law, trade secret law, trademark law, unfair competition law, and similar laws, as well as all applications, updates, extensions, and restorations of such rights, whether currently effective or becoming effective in the future anywhere in the world. Users agree not to modify, adapt, translate, create derivative works of, decompile, reverse engineer, disassemble, or otherwise attempt to obtain the source code of GearHead. Users also agree not to remove, obscure, or alter any copyright notices, trademarks, or other proprietary notices of GearHead or any third party.

3. User Notes

3.1 Software Usage Rules

You are responsible for your use of the software and related services. Unless otherwise permitted by law or expressly authorized by us in writing, you may not engage in the following acts when using the GearHead software and related services:

  • Use any unauthorized plug-in, add-on, system, or third-party tool to interfere with, damage, modify, or otherwise affect the normal operation of the GearHead software and related services.
  • Engage in any conduct that endangers cybersecurity by using or targeting the GearHead software and related services, including but not limited to:
    • illegally accessing another person's network, interfering with the normal operation of another person's network, or stealing network data;
    • providing programs, tools, technical support, advertising, promotion, payment settlement, or other assistance to others engaged in harmful cybersecurity activities;
    • using data or accessing servers or accounts without authorization;
    • entering public computer networks or another person's computer system without permission and deleting, modifying, or adding stored information;
    • attempting to probe, scan, or test the weaknesses of the GearHead system or network, or otherwise carry out acts that undermine cybersecurity;
    • attempting to interfere with or damage the normal operation of the GearHead system or website, deliberately spreading malicious programs or viruses, or otherwise disrupting normal online information services;
    • forging TCP/IP packet names or partial names;
    • reverse engineering, reverse assembling, compiling, or otherwise attempting to discover the source code of the software;
    • maliciously registering accounts for the GearHead software and related services, including but not limited to frequent or bulk account registration;
    • other conduct that violates laws and regulations, this Agreement, the company's related rules, or the lawful rights and interests of others.

If we have reason to believe that your conduct violates or may violate the above rules, we may make an independent determination and take action, including terminating the provision of services to you without prior notice and pursuing legal liability.

3.2 Content Conduct Rules

When using GearHead, you must comply with the laws and regulations of the People's Republic of China. Users undertake not to send or disseminate through our products and/or services any uncivilized information or information that violates laws or regulations. Otherwise, we may delete or block such information in accordance with law or this Agreement, and may take measures such as warnings, rectification within a specified period, or suspension of services depending on the circumstances. Such information includes but is not limited to:

  • content opposing the basic principles established by the Constitution;
  • content endangering national security, divulging state secrets, subverting state power, undermining national unity, or harming national honor and interests;
  • content inciting ethnic hatred or discrimination or undermining ethnic unity;
  • content undermining state religious policies or promoting cults or superstition;
  • content spreading rumors, disrupting social order, or undermining social stability;
  • obscene, pornographic, gambling-related, violent, murderous, terrorist, or crime-inciting content;
  • content that intimidates, insults, attacks, or defames others or infringes on others' lawful rights and interests;
  • content using the platform to engage in illegal or criminal activities such as money laundering, theft of trade secrets, or theft of personal information;
  • content that infringes on the copyright, trademark rights, or other intellectual property rights or lawful rights of others;
  • content that infringes on the lawful rights and interests of minors or harms their physical or mental health;
  • commercial advertisements, solicitation, excessive marketing information, or spam;
  • any other information that violates laws, regulations, public order, or good morals, interferes with the normal operation of GearHead, or infringes on the lawful rights and interests of you or third parties.

3.3 Data Storage Rules

GearHead provides storage services. Please comply with the following terms:

  • The service allows you to upload, submit, save, and download files. You retain all intellectual property rights in your content. Unless you grant permission, GearHead may not copy, share, or transmit your files to any third party.
  • When you upload, submit, and save your content on our servers, or download content through our services, you authorize GearHead to host and store your content. GearHead also provides services that allow you to access and delete the content you upload to GearHead. Due to restrictions in some countries or enterprises, please make sure you have the necessary rights for any content you submit to our servers.
  • Please ensure that any content you upload, submit, or save on our servers is completely lawful, including but not limited to text, photos, and attachments. Otherwise, GearHead has the right to delete unlawful content unilaterally, revoke access and editing rights, or take other actions.

4. User Privacy System

Respect for users' personal privacy is one of our basic policies. We generally do not publicly disclose, edit, or reveal your registration information or non-public content stored in the services we provide, except where we believe in good faith that disclosure is necessary in the following circumstances:

  • to comply with legal requirements, including providing information content, publication time, internet address, or domain name published by users through GearHead when requested by competent state authorities;
  • to maintain and protect the company's trademarks, software copyrights, and other intellectual property rights;
  • to make every effort in emergency situations to safeguard the personal safety and privacy of users and the public;
  • other circumstances that we deem necessary.

To learn more about GearHead's data protection measures, please read GearHead's Privacy Policy. That policy explains how GearHead processes your personal information and protects your privacy rights when you use GearHead's related services. You agree to use your data in compliance with GearHead's Privacy Policy.

5. Service Changes

We reserve the right to change, interrupt, or terminate services at any time without notice to users.

Users accept our right to exercise such changes, interruption, or termination, and we are not liable to users or third parties for doing so.

6. Limitation of Liability

You understand and agree that you choose to download and use GearHead, as well as all third-party software provided together with or through GearHead, at your own risk. You shall bear full responsibility for any damage to computer systems or loss of data caused by downloading or using GearHead and such third-party software. To the maximum extent permitted by applicable law, we expressly disclaim any other warranties, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, reliability, accuracy, completeness, non-infringement, absence of viruses, and error-free operation.

To the maximum extent permitted by applicable law, neither we nor our licensors make any representation or warranty that:

  • your use of the service will meet your needs;
  • your use of the service will be uninterrupted, timely, secure, or error-free;
  • any information obtained by you through the relevant services will be accurate or reliable;
  • defects in the operation or functionality of any software provided as part of the relevant services will be corrected.

To the maximum extent permitted by applicable law, we are not liable for any incidental, indirect, special, or consequential damages or claims arising from or in any way related to users' use of GearHead, including but not limited to damages for personal injury, privacy leakage, failure to perform any duty including good faith or reasonable care, negligence, or any other monetary or non-monetary loss. By uploading content, users or the copyright owners represented by users authorize us and our affiliates to store the content on GearHead's servers. However, users or the original copyright owners retain the copyright to uploaded works, and the GearHead company may not publish such uploaded works through other public channels without the permission of users or the original copyright owners. If users use services provided by us or our affiliates while using GearHead, they shall also comply with the corresponding service terms.

7. Indemnification

Users agree to safeguard and maintain our interests and to bear legal fees, compensation, administrative penalties, and other infringement liabilities arising from the user's violation of these Terms or any of our other service terms.

8. Third-Party Products and Services

The software may use third-party software or technologies, including open source code and public domain code, and such use has been lawfully authorized.

If the software uses third-party software or technology, we will display the relevant agreements or other documents as required by applicable laws, regulations, or contractual arrangements, possibly in the form of appendices to this Agreement or bundled within a specific folder of the installation package. They may appear as a "Software License Agreement," "Authorization Agreement," "Open Source License," or another form. These relevant agreements or documents shown in any such form are an inseparable part of this Agreement and have the same legal effect. You shall comply with those requirements. If you fail to do so, the relevant third party or competent state authority may file a lawsuit, impose fines, or take other sanctions against you and request our assistance, and you shall bear the corresponding legal responsibility.

Any disputes arising from third-party software or technology used by the software shall be resolved by the relevant third party, and we assume no responsibility. We do not provide customer support for third-party software or technology. If you need support, please contact the relevant third party directly.

9. Governing Law and Updates to the Agreement

We may revise the terms of this Agreement from time to time as required by changes in national laws and regulations or operational needs. The revised Agreement will take effect upon publication as required by law and replace the previous version. You should review the latest version of the Agreement and related site notices from time to time. If you do not agree to the updated Agreement, you have the right to stop using our products and/or services immediately. If you continue to use our products and/or services, you will be deemed to have fully agreed to the updated Agreement. If any provision of this Agreement is held invalid or unenforceable by a judicial or administrative authority for any reason, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

These terms are governed by and construed in accordance with the laws of the People's Republic of China. In the event of any dispute, users and we agree to submit the dispute to the local people's court with jurisdiction.
